1. Introduction

2.2 The scope of Services, as well as the specific terms applicable to each, will be provided in writing and agreed upon by both parties before any service is rendered.

2.3 The Company reserves the right to modify or withdraw any of the Services at any time, with reasonable notice provided to Clients.

 

3. Client Eligibility

3.1 The Client must be an individual or legal entity that is eligible to invest according to applicable UAE laws and regulations.

3.2 The Client must provide accurate and complete information during registration or account opening. Failure to do so may result in the termination or suspension of services.

3.3 Clients must be 18 years of age or older, or the legal age of majority in their jurisdiction, to engage in investment services.

 

4. Risk Disclosure

4.1 Investments carry inherent risks, and the value of investments may rise or fall. The Company does not guarantee any returns or outcomes.

4.2 Clients should carefully review their risk tolerance and financial objectives before engaging in any investment.

4.3 The Company is not liable for any losses incurred by the Client due to investment activities, market fluctuations, or other external factors.

 

5. Client Accounts and Transactions

5.1 The Client must open an account with the Company to access the Services. This may involve submitting required documents, such as identification, proof of residence, and financial details.

5.2 Clients are responsible for maintaining the confidentiality of their account login credentials and notifying the Company immediately of any unauthorized access.

5.3 The Company reserves the right to reject any transaction or account opening request at its discretion.

5.4 All transactions will be processed in accordance with the policies of the Company, and the Company will act as the Client’s agent for the purposes of executing investments on their behalf.

6. Fees and Charges

6.1 The Company charges fees for its services, which may include but are not limited to advisory fees, management fees, transaction fees, and performance-based fees.

6.2 Fees will be disclosed upfront and detailed in the investment agreement. These fees may be subject to change, with notice provided to Clients.

6.3 All fees and charges are payable in accordance with the terms specified in the Client agreement.

7. Confidentiality and Data Protection

7.1 The Company will maintain the confidentiality of the Client’s personal and financial information in accordance with the applicable data protection laws of the UAE.

7.2 The Client agrees to provide accurate personal information and understands that the Company may need to share certain details with third-party

providers (such as regulatory authorities or financial institutions) for the purposes of processing transactions, complying with regulations, or providing services.

8. Liability

8.1 The Company will not be liable for any direct, indirect, incidental, or consequential damages arising out of the Client’s use of the Services.

8.2 The Client agrees to indemnify and hold the Company harmless against any claims, losses, damages, or expenses resulting from the Client’s

violation of this Agreement or their use of the Services.

9. Termination

9.1 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

9.2 Upon termination, the Client’s account will be closed, and any outstanding fees or balances must be settled.

9.3 The Company reserves the right to terminate the Agreement immediately without prior notice if the Client violates any terms of this Agreement,

engages in fraudulent activities, or acts in a manner that is harmful to the Company’s business or reputation.

10. Dispute Resolution

10.1 Any disputes arising out of or in connection with this Agreement shall be resolved through amicable negotiations between the Client and the Company.

10.2 If a dispute cannot be resolved amicably, it shall be referred to the competent courts in Dubai, UAE, for resolution.

10.3 This Agreement is governed by the laws of the UAE.

11. Force Majeure

11.1 The Company will not be liable for any failure to perform its obligations under this Agreement if such failure is due to events beyond its reasonable

control, including but not limited to acts of God, war, terrorism, strikes, government actions, or other natural or man-made disasters.

12. Governing Law and Jurisdiction

12.1 This Agreement shall be governed by and construed in accordance with the laws of the UAE.

12.2 Any disputes shall be subject to the exclusive jurisdiction of the courts in Dubai, UAE.

13. Amendments

13.1 The Company may revise these Terms and Conditions at any time. Clients will be notified of any significant changes.

13.2 Continued use of the Services after such revisions constitutes the Client’s acceptance of the updated Terms and Conditions.
